Announcement of Annual General Meeting - November 3, 2022

Sunnyvale Alliance Soccer Club holds a meeting of the membership each year to conduct business of the general membership including the vote for the Board of Directors' seats up for election that year. Each year one half of the seats come up for election as set forth in the SASC Constitution.

The meeting will be held virtually at 8:00 pm on Thursday, November 3, 2022.

Voting

The club will be using Election Buddy to allow members to vote on the approval of the 2021 AGM Minutes and nominations to the Board of Directors. Rather than vote after each item comes up, as has occurred in the past, to make this easier members will be issued a link over email to Election Buddy that will allow them to vote on all the items after they are all presented. Members will be asked to provide an email account, and their membership status will be verified prior to the link being issued. There will be an opportunity for members to ask questions, either about the voting process or items up for vote, prior to the link being sent out.

Join the Board of Directors

SASC is a volunteer run club. The Board of Directors is responsible for maintaining the infrastructure of the Club as well as responding to the needs of our members. Want to get involved? Have ideas and energy? Want to help our kids play soccer and keep our recreational and competitive programs thriving? Consider joining our board!

Elections

The following Board positions are up for election per our constitution:
  • President
  • Treasurer
  • Recreational Director
  • Competitive Registrar
  • Tournament Director (*)
  • Referee Director (*)
(*) Please note that the SASC Board has already approved a constitutional change to eliminate these positions. See the "Constitutional Amendments" section below. Those wanting to run for these board positions should consider other roles.

The term of a board member is two years. The term for these positions starts in January 2023.

Board members are expected to fulfill the responsibilities of their office and attend monthly board meetings. Only current SASC members are eligible for board positions.

Constitutional Amendments

The Board of Directors has approved the following amendment to the SASC Constitution, subject to ratification by the members:
Elimination of 4 Board positions
  • Summary: The following positions are to be eliminated from the SASC Board of Directors: Fields Director, Fundraising Director, Tournament Director, Referee Director.
  • Rationale: The board positions being eliminated are very operations-centric. Although the functional areas represented by these positions are still required, they will now be managed by non-board members, allowing the remaining SASC Board members to be focused on more strategic business of the club.
  • Effect: There will be no visible effect to the day-to-day operation of the club. These fours board positions are currently vacant, thus there is no impact to the current board make-up.
    The remaining SASC Board positions will consist of: President, Vice President, Secretary, Treasurer, Competitive Director, Recreational Director, Competitive Registrar, Recreational Registrar, Volunteer Director.

In addition, a number of non-material changes to the SASC Constitution are being proposed at this time:
Non-material changes
  • Summary:
    • Clean up inconsistent usage of various terms (e.g. "Board/Board of Directors/Directors/Officers/Board Members")
    • Clarify that the SASC DOC position is a "Key Employee", rather than a Board Member.
    • Clarify the distinction between a General Meeting and Annual General Meeting.
    • Reorder some sections for more logical document flow.
    • Cosmetic changes to section numbering and page headers.
  • Rationale: Improve clarity and consistency of the SASC Constitution.
  • Effect: No material effect to the operation of the club.
